The first-pass problem

Routine contract review shouldn’t take your whole afternoon.

Your judgment is the valuable part. The hours spent finding the problems before you can apply it are not.

First-pass review eats the day

Hours spent reading routine NDAs, MSAs and SOWs line by line before the real work starts.

Flat fees, unbounded time

Clients expect fixed prices for contract review; every extra hour comes out of your margin.

Issues hide in the interactions

Acceptance plus payment terms, IP plus confidentiality: the risk lives where clauses meet.

Redlines from scratch

Drafting balanced replacement wording and the cover email again for every negotiation.

How it works

From PDF to reviewed redlines in three steps

  1. 1

    Upload the contract

Drop in a PDF (even a scan), a Word file, or paste the text. Choose the party you represent.

  2. 2

    Claude drafts the first pass

The whole agreement is analysed in one pass from your client's side: risk-ranked issues, verbatim quotes, redlines, gaps.

  3. 3

    You review, edit and decide

Check every flag against the quoted text, adjust the wording, and send the negotiation email when you're satisfied.

What you get

A first pass you can actually check

TermOwl doesn't stop at “this clause is risky”. Every flag shows the clause, why it matters for your client, what to ask for and the wording, so verification takes seconds.

Risk score & verdict

A 0–100 score and a one-line recommendation from your client's side.

Verbatim quotes

Every issue cites the exact clause it's based on, so you can verify it in seconds.

Paste-ready redlines

Balanced replacement wording the other side is likely to accept.

Missing protections

Spots what isn't there: change orders, caps, payment security, IP carve-outs.

Negotiation email draft

Pick the issues and a tone. Get a specific draft to edit and send on your client's behalf.

Ask the contract

“What's my client's total liability exposure?” Answers cite the exact clause.

Multilingual

Reads contracts in most major languages and reports in yours.

Confidential by design

Files are processed in memory, never stored, and never used to train models.

Sample report

Every flag comes with the quote, the reason and the fix.

A one-sided contractor agreement, reviewed by Claude in production on behalf of the contractor. TermOwl found 11 issues and 6 missing protections, and drafted replacement clauses for each.

CriticalSections 4.1–4.2

IP grab covers all your work and pre-existing tools

“All work product ... created by Contractor, whether or not in connection with the Services and whether or not during working hours, during the term of this Agreement ... shall be the sole and exclusive property of Company ... including all of Contractor's pre-existing tools, libraries, and know-how”

Suggested wording

4.1 Upon receipt of full payment, Contractor assigns to Company all rights in the deliverables created specifically for Company under Exhibit A (the "Work Product"). 4.2 Contractor retains all rights in its pre-existing tools, libraries, know-how, and general-purpose materials ("Contractor Materials"). To the extent Contractor Materials are incorporated into the Work Product, Contractor grants Company a perpetual, non-exclusive, royalty-free licence to use them solely as part of the Work Product.

CriticalSection 6

Broad 24-month non-compete across two continents

“for a period of twenty-four (24) months thereafter, Contractor shall not, anywhere in North America or Europe, provide services to any business engaged in retail, e-commerce, or customer loyalty programs.”

Suggested wording

6.1 During the term and for six (6) months thereafter, Contractor shall not knowingly solicit any Company employee with whom Contractor worked under this Agreement to leave Company's employment. Nothing in this Agreement restricts Contractor from providing services to any other person or business.

Who it's for

Built for the people who review contracts for a living

Solo practitioners

Turn routine contract reviews around the same day and keep flat-fee work profitable.

Small & mid-size firms

A consistent first pass across associates, so partner time goes to judgment, not reading.

In-house legal teams

Clear the queue of NDAs, vendor terms and SOWs from sales and procurement faster.

Paralegals & legal assistants

Prepare issue lists and redlines for the supervising lawyer to review and approve.

Built with Claude

AI-first from the first line of code

TermOwl runs on Claude by Anthropic, and was designed and built with Claude Code. We picked Claude for the things contract review can't compromise on: reading long documents carefully and being honest about what's actually in them.

Reads the whole contract at once

Claude's long context window means no chunking: clauses that interact, like acceptance and payment, are analysed together.

Understands real-world PDFs

Native PDF understanding handles scans, tables, exhibits and signature pages, not just clean text.

Careful reasoning

Adaptive thinking lets Claude work through cross-references and definitions before it writes a word of the report.

Professional in the loop

Structured, quote-backed output built to be checked by a lawyer; documents are treated as untrusted input to resist prompt injection.

FAQ

Questions, answered

Who is TermOwl for?+

Legal professionals: solo lawyers, law firms, in-house legal teams, and paralegals working under a lawyer's supervision. TermOwl prepares a first-pass review; a qualified professional reviews it before anything reaches a client.

Does TermOwl replace legal review?+

No. It's an AI-generated draft that speeds up your review. Every issue quotes the clause it relies on so you can verify it quickly, and nothing should be relied on or shared with a client until you've checked it. TermOwl does not provide legal advice.

Is client data confidential?+

Documents are sent over an encrypted connection, processed in memory and never stored on our servers. They're analysed by the Claude API, and under Anthropic's commercial terms API inputs aren't used to train models.

Which contracts work best?+

Commercial agreements: NDAs, MSAs and SOWs, SaaS and licensing terms, consulting and contractor agreements, employment and executive agreements, leases, and partnership agreements.

Which files can I upload?+

PDF (including scanned documents), Word .docx and plain text, up to 3 MB. You can also paste the text directly.

Does it work in other languages?+

Yes. Claude reads contracts in most major languages. You can get the report in the contract's language or in English, Ukrainian, Spanish, German, French, Polish, Portuguese or Italian.

Which AI model powers TermOwl?+

TermOwl is built on Claude by Anthropic, using its most capable Opus-class model via the Claude API, chosen for long-document reasoning and reliability.

Is it free?+

Yes, during the public beta, with fair-use limits. Pro and Team plans with saved matters, your firm's playbook and integrations are coming; join the waitlist for founder pricing.
